These Terms & Conditions (“Terms”) govern your use of the Lumivox Digital website and any services provided by Lumivox Digital (“we,” “us,” “our”). By using our website, booking a strategy call, or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

1. Who We Are

Lumivox Digital is a digital marketing and web development agency providing services including SEO, AEO, GEO, performance marketing, web and app development, AI automation, and related services to businesses in the United States, United Kingdom, Canada, Australia, New Zealand, Ireland, South Africa, Singapore, and other markets.

2. Our Services

The specific services we provide, their scope, timelines, and pricing are defined individually in a proposal, statement of work, or written agreement for each client (“Agreement”). These Terms apply in addition to, and alongside, any such Agreement. In the event of a conflict between these Terms and a signed Agreement, the Agreement takes precedence for the matters it specifically addresses.

3. Free Strategy Calls

We offer a free, no-obligation strategy call to prospective clients. This call does not create any contractual obligation on either party. Any information, opinions, or recommendations shared during a free strategy call are provided for general guidance only and do not constitute a formal, binding proposal until confirmed in writing.

4. Proposals, Scope & Agreements

Before any paid work begins, we will provide a written proposal or Agreement outlining the scope of work, deliverables, timeline, and pricing. Work will only commence once this Agreement is accepted, typically via written confirmation and/or an initial payment. Any changes to the agreed scope (“scope creep”) that materially increase the time or resources required may result in a revised quote before additional work continues.

5. Pricing & Payment

  • All prices are quoted in [CURRENCY, e.g. USD] unless otherwise agreed in writing, and are exclusive of any applicable taxes, which will be added where required by law.
  • One-time projects typically require a deposit before work begins, with the balance due on agreed milestones or upon completion, as specified in your Agreement.
  • Monthly retainer services are billed in advance for each billing period.
  • Invoices are due within [NUMBER] days of issue unless otherwise agreed. Late payments may result in a pause of ongoing work until payment is received, and may incur a late fee of [PERCENTAGE]% per month on overdue amounts, where permitted by law.
  • Any third-party costs (advertising spend, licensed software, stock media, domain registration, hosting) are billed separately or passed through at cost, as agreed in your specific Agreement.

6. Client Responsibilities

To deliver services effectively and on schedule, we ask clients to:

  • Provide timely feedback, approvals, and content/assets required for the project
  • Grant necessary access to accounts, platforms, or systems required to perform the agreed work (e.g. website admin access, ad account access, analytics access)
  • Ensure all information, content, and materials provided to us do not infringe any third party’s intellectual property or other rights
  • Attend scheduled strategy calls and weekly project check-ins where applicable

Delays caused by a client’s failure to provide timely feedback, access, or materials may extend project timelines accordingly, through no fault of Lumivox Digital.

7. Communication & Project Process

Primary project communication is conducted via email to maintain a clear, documented record of all decisions and deliverables. Active projects include weekly Google Meet video calls to review progress, discuss data, and align on next steps, unless otherwise agreed for a specific engagement.

8. Results & Performance Disclaimer

While Lumivox Digital is committed to a results-based approach and works diligently to achieve measurable growth for every client, digital marketing outcomes (including but not limited to search engine rankings, AI citation, conversion rates, ad performance, and revenue growth) are influenced by many factors outside our control, including but not limited to search engine and platform algorithm changes, market conditions, competitor activity, and a client’s own business decisions, pricing, and market fit. We do not guarantee specific rankings, revenue figures, or outcomes, and no such guarantee should be inferred from any marketing material, case study, or conversation unless explicitly stated in a signed Agreement.

9. Intellectual Property

  • Upon full payment, ownership of final, agreed deliverables (such as a completed website, logo, or marketing assets created specifically for the client) transfers to the client, except for any pre-existing tools, frameworks, code libraries, or proprietary processes owned by Lumivox Digital, which remain our property and are licensed to the client for their ongoing use.
  • Lumivox Digital retains the right to showcase completed work in our portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing, which we will honour.
  • Any third-party assets used (stock photography, licensed fonts, plugins) remain subject to their original license terms.

10. Third-Party Tools & Platforms

Our services may involve the use of third-party platforms and tools (e.g. Google Ads, Meta Ads, Shopify, WordPress, HubSpot, n8n). We are not responsible for outages, policy changes, price changes, or account suspensions imposed by these third-party platforms, though we will act promptly to advise clients and adjust strategy where such issues arise.

11. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and not to disclose it to third parties except as required by law or with the other party’s written consent.

12. Limitation of Liability

To the maximum extent permitted by law, Lumivox Digital’s total liability arising out of or relating to any services provided shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the [NUMBER]-month period preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence.

13. Termination

Either party may terminate an ongoing Agreement in accordance with the notice period specified in that Agreement, or where none is specified, with [NUMBER] days’ written notice. Upon termination, the client is responsible for payment of all fees for work completed up to the effective termination date. Sections relating to intellectual property, confidentiality, and limitation of liability survive termination of any Agreement.

14. Refunds

Refunds are governed by our separate Refund Policy, which forms part of these Terms.

15. Governing Law

These Terms are governed by the laws of [JURISDICTION, e.g. the State of Delaware, USA / England and Wales], without regard to conflict of law principles, except where mandatory consumer protection laws of the client’s own country provide otherwise.
